This Placement Agreement ("Agreement") governs each locum tenens engagement formed through the RadiMatch platform ("RadiMatch," "we") between the healthcare facility or practice extending the offer (the "Facility") and the radiologist accepting it (the "Radiologist"). By tapping Accept on an offer in the RadiMatch app, the Radiologist agrees to this Agreement, and the engagement described in the offer (rate, assignment dates, and expected hours) becomes binding on the terms below.
The Facility engages the Radiologist to provide radiology services for the assignment period stated in the accepted offer. The Radiologist provides services as an independent contractor — not as an employee, partner, or agent of the Facility or of RadiMatch. Nothing in this Agreement creates an employment relationship, and the Radiologist is not entitled to employee benefits from either party.
RadiMatch operates the platform through which the engagement was formed and administers billing and payment for it. RadiMatch is not a party to the clinical relationship, does not direct or supervise the Radiologist's professional judgment, and is not a healthcare provider.
The Radiologist represents and warrants that, for the entire assignment period, they: (a) hold an active, unrestricted medical license in the state(s) required for the assignment; (b) are not excluded from any federal healthcare program (OIG/SAM); (c) maintain appropriate professional liability (malpractice) insurance covering the services performed, unless the Facility agrees in writing to provide such coverage; and (d) will promptly notify RadiMatch and the Facility of any change to licensure, exclusion status, or insurance.
The Facility and the Radiologist were introduced through RadiMatch. For a period of 24 months following the later of (i) the introduction or (ii) the end of the last engagement between them on the platform, the Facility agrees not to engage the Radiologist directly or through another intermediary for radiology services except through RadiMatch or by paying the applicable conversion fee below:
Continuing to run engagements through RadiMatch incurs no conversion fee at any time.
Either the Facility or the Radiologist may end an engagement with reasonable written notice through the platform. All hours worked prior to the effective end date remain payable under Section 3. Sections 3 (for accrued amounts), 5, 7, and 8 survive termination.
If the Radiologist disputes reported hours, payment for the disputed period is paused while the parties resolve the discrepancy, with RadiMatch facilitating in good faith. Undisputed amounts remain payable on the normal schedule.
This Agreement, together with the accepted offer's specific terms and the RadiMatch Terms of Service, is the entire agreement for the engagement. If any provision is held unenforceable, the remainder stays in effect and the provision will be enforced to the maximum extent permitted. This Agreement is governed by the laws of the State of Michigan, without regard to conflict-of-law rules.
