RadiMatch Terms of Service

These Terms of Service ("Terms") govern all use of the RadiMatch platform ("RadiMatch," "we") by radiologists ("Radiologists") and healthcare facilities or practices ("Facilities"). By creating an account, you agree to these Terms.

1. The Platform

RadiMatch is a marketplace that connects Radiologists with Facilities for locum tenens and related radiology engagements, administers verification of professional credentials, and processes billing and payment for engagements formed on the platform. RadiMatch is a technology platform and marketplace only. RadiMatch is not a healthcare provider, staffing agency, employment agency, employer of record, or professional employer organization, and is not a party to the professional services relationship formed between a Radiologist and a Facility. RadiMatch does not deliver clinical care, does not supervise or direct any Radiologist's professional judgment, schedule, or manner of work, and does not set the terms of any engagement beyond providing the tools with which the parties set them themselves.

3. Engagements and the Placement Agreement

Each engagement formed on the platform is governed by the RadiMatch Placement Agreement (currently version locum-v1), which is presented to the Radiologist for electronic signature at offer acceptance and which the Facility accepts by extending an offer through the platform. The Placement Agreement covers compensation, the payment flow, professional requirements, termination, and dispute handling for that engagement.

4. Fees and Payments

Facilities are billed RadiMatch's bill rate for confirmed hours, which includes the Radiologist's pay rate plus RadiMatch's platform fee (currently 15% of the billed amount). Payments are processed through our payment partner (Stripe). Payouts to Radiologists are released after the Facility's payment settles. In processing these payments, RadiMatch acts solely as the Radiologist's limited agent for the purpose of collecting amounts owed by the Facility and remitting them to the Radiologist, less RadiMatch's platform fee; payment by a Facility to RadiMatch for confirmed hours discharges the Facility's payment obligation to the Radiologist for those hours. RadiMatch does not advance funds, does not guarantee payment, and does not withhold or remit taxes of any kind. Each user is solely responsible for its own tax reporting and for all federal, state, and local taxes arising from amounts paid or received through the platform.

5. Non-Circumvention

This section is a material condition of using the platform. Introductions made through RadiMatch are the platform's core value. For 24 months following an introduction or the end of the last platform engagement between a Facility and a Radiologist (whichever is later), the Facility agrees not to engage that Radiologist for radiology services directly or through another intermediary, except (a) through RadiMatch, or (b) by paying the direct-hire conversion fee set out in the Placement Agreement (25% of expected first-year compensation in months 0–12, declining to 15% in months 13–18 and 10% in months 19–24, with no fee thereafter). Attempting to solicit off-platform contact for the purpose of avoiding platform fees is a violation of these Terms and grounds for account termination in addition to the conversion fee.

6. Verification and Credentials

RadiMatch performs automated and manual checks of professional credentials (including NPI registry, federal exclusion lists, state licensure where available, and identity verification) and displays results to Facilities. Verification badges and status indicators confirm only that the indicated check was performed and returned the indicated result as of the date shown, or that a document was submitted. RadiMatch does not warrant or make any representation as to the accuracy, authenticity, or completeness of any credential, document, or self-reported information, nor as to any Radiologist's competence, qualifications, or fitness to perform services. These checks assist but do not replace a Facility's own credentialing, privileging, primary source verification, and background screening obligations, and must not be relied upon as a substitute for them. Radiologists consent to these checks and to the display of verification status and uploaded credential documents to Facilities with whom they have an application or engagement.

8. Electronic Signatures and Records

You consent to transact electronically. Actions such as tapping "Accept," typing initials, or checking an agreement box constitute your electronic signature with the same effect as a handwritten signature. RadiMatch retains records of acceptance (including timestamp, IP address, and device information) as evidence of assent.

9. Termination

You may close your account at any time; obligations already accrued (including payment for confirmed hours, the Placement Agreement's surviving sections, and Section 5 of these Terms) survive closure. RadiMatch may suspend or terminate accounts that violate these Terms.

10. Independent Contractor Status

Unless a Facility and a Radiologist expressly agree otherwise between themselves, each engagement formed on the platform is an independent contractor relationship between the Facility and the Radiologist. No Radiologist is an employee, agent, partner, or joint venturer of RadiMatch, and nothing in these Terms creates an employment relationship with RadiMatch. Radiologists control the manner and means of their professional work, set their own availability, and may accept or decline any engagement without penalty. RadiMatch does not provide employment benefits, workers' compensation, unemployment insurance, or tax withholding to any user. If a Facility subsequently engages a Radiologist as an employee, that employment relationship is solely between those parties and remains subject to Section 5.

11. Professional Liability Insurance

Professional liability (malpractice) coverage must be in place before services begin for every engagement. The party responsible for providing coverage, the policy form (occurrence or claims-made), and the coverage limits are specified in the offer and recorded in the Placement Agreement for that engagement. Where a claims-made policy is used, the party responsible for coverage is also responsible for extended reporting ("tail") coverage. Radiologists must maintain and, on request, provide a current certificate of insurance. RadiMatch does not provide, procure, broker, or guarantee professional liability, general liability, or any other insurance for any user, and is not responsible for any gap, lapse, denial, or exhaustion of coverage. Facilities remain responsible for confirming that coverage adequate to their own requirements is in place.

12. No Protected Health Information

RadiMatch is a staffing and scheduling platform. It is not a clinical system and is not designed, certified, or intended to store, transmit, or process Protected Health Information ("PHI") as defined under HIPAA. Users must not transmit PHI — including patient names, dates of birth, medical record numbers, images, reports, or any other individually identifiable health information — through RadiMatch messaging, job postings, offers, uploaded documents, or any other part of the Service. Caseloads, modalities, and volumes should be described in general terms only. RadiMatch does not act as a Business Associate and does not enter into Business Associate Agreements. Content transmitted in violation of this section may be removed, and the responsible account may be suspended.

13. Disclaimers and Liability

The platform is provided "as is." To the maximum extent permitted by law, RadiMatch's aggregate liability arising out of the platform is limited to the platform fees RadiMatch received for the engagement giving rise to the claim. Nothing in these Terms limits liability that cannot be limited by law.

14. General

These Terms, together with the Placement Agreement for each engagement, are the entire agreement between you and RadiMatch. If any provision is unenforceable, the remainder stays in effect. These Terms are governed by the laws of the State of Michigan. RadiMatch may update these Terms with notice; continued use after the effective date constitutes acceptance, and each account records the version accepted.
